Regulatory scrutiny of Coupang escalates as the Fair Trade Commission weighs designating founder Kim Bom-suk as the de facto controller of the company.
The commission is set to decide whether Kim, who serves as Coupang Inc.’s chairman, should be recognized as the group’s “same person” and thus subject to broader regulatory oversight.
If designated, he would face enhanced disclosure requirements and investigations for himself and his relatives, expanding the scope of authorities’ oversight over the conglomerate.
The decision could provoke United States objections and potential trade tensions between Seoul and Washington, complicating efforts to regulate the company further.
Advocates for increased regulation argue the move would address concerns tied to worker safety at logistics centers, data privacy incidents, and governance issues.
FTC Chairman Ju Biung-ghi said that sufficient data on relatives’ stakes had been collected, signaling readiness to proceed with closer scrutiny if warranted.
Ju also signaled the possibility of a business suspension for the company in response to a major data breach affecting tens of millions of users disclosed late last year.
Civic groups have pressed the FTC to designate Kim as the controlling head, arguing that Coupang’s overseas governance structure is misaligned with its Korea-focused profits.

Coupang argues that regulation by Korean authorities would be unfair as the firm is subject to U.S. regulatory oversight.
Recently, some U.S. lawmakers urged Korea to halt what they termed discriminatory regulatory actions against American firms, prompting criticism from Korea’s National Assembly for perceived interference in domestic affairs.
There is speculation that Coupang has lobbied U.S. policymakers, with lobbying records showing significant activity in the first quarter of the year, though the company denies pressuring the Korean government over the data breach controversy.

FTC는 수요일에 김 창립자를 쿠팡 Inc. 이사회의 의장으로도 활동하고 있는 인물을 집단의 “동일인”으로 지정할지 여부를 결정할 예정인데, 이는 사실상 지배자를 가리키는 법적 용어다.
지배적으로 지정되면 규제 당국의 광범위한 감독 대상이 되며, 그와 그의 친척들까지도 광범위한 공시를 제출하고 자세한 조사를 받는 등 더 넓은 규제 의무를 부담하게 된다.
다만 FTC가 이를 시행할지 여부는 아직 확정되지 않았다. 이 조치가 미국의 강한 반대에 부딪히고 서울과 워싱턴 간의 무역 마찰을 재점화할 수 있기 때문이다.
규제 강화를 지지하는 측은 이 조치가 로지스틱 센터의 노동자 사망 사건, 데이터 프라이버시 침해, 거버넌스 전반에 걸친 우려를 해소하는 데 도움이 될 수 있다고 주장한다.
FTC 의장 주 비웅히(Ju Biung-ghi)는 지난달 한 언론 인터뷰에서 “김의 친척 지분 보유 현황에 관한 충분한 데이터 세트를 수집했다”고 말했다.
쿠팡에 대한 비판적 입장을 유지한 주 의장은 지난해 말에 공개된 대규모 데이터 침해로 인해 기업에 대한 사업 중단 가능성도 시사했다. 이 침해로 3,370만 명의 이용자 데이터가 영향을 받았다고 언급했다.
시민단체를 비롯한 경제정의시민연대 등도 FTC에 김을 쿠팡의 지배적 수장으로 지정할 것을 촉구하며, 회사의 해외 거버넌스 구조가 국내에서 대부분의 이익을 창출하는 상황에서 더 이상 정당화되지 않는다고 주장했다.

쿠팡은 미국 규제 기관의 관할이므로 한국 당국의 규제를 받는 것은 불공정하다고 반박했다.
지난 주 미국 공화당 연구위원회 의원단이 주한미국 대사관에 편지해 미국 기업에 대한 차별적 규제 행위를 중단하라고 촉구했다.
“하원 법무위원회의 구성원으로서 미국 기술 선도 기업을 겨냥한 보호무역적 입법 조치의 증가 추세에 우려를 표한다”고 마이클 바움가트너 의원이 편지에서 말했다.
“한국은 중요한 동맹으로서 파트너십의 의무를 다하길 바란다. 미국 기업에 대한 차별적 조치는 양국 간 경제 관계를 약화시키고 중국에 유리한 고지를 내줄 위험이 있다.”
이 같은 불만은 국회에서도 반발을 샀으며, 우원식 의장은 이 발언을 “국내 사무에 대한 명백한 간섭”이라고 비판했다.
쿠팡이 미국 정책 입안자들을 상대로 적극적으로 로비활동을 벌였다는 추측이 제기됐다. 미국 상원의 로비활동 공개법 데이터베이스에 따르면 회사는 올해 1분기에 백악관과 미국 의회를 대상으로 로비 활동에 109만 달러를 지출했다.
그러나 회사는 지난 금요일 대량 데이터 침해 논란이 발생한 뒤 한국 정부에 압력을 가하기 위한 미국 정부 관계자 로비 의혹은 사실이 아니라고 부인했다.
