Yonhap</p></div></div><p class="editor-p"><span>Korea's antitrust watchdog on Friday approved NS Shopping's takeover of the compact-format supermarket chain Homeplus Express, saying the deal is unlikely to hinder fair competition in the market.</span></p><p class="editor-p">The Fair Trade Commission (FTC) made the ruling after NS Shopping, an affiliate of Harim, Korea's largest poultry-processing company, announced its plan to acquire Homeplus Express from Homeplus in a deal estimated at 120.6 billion won ($79.3 million).</p><p class="editor-p">Homeplus Express is the super supermarket (SSM) brand of Homeplus.</p><p class="editor-p">The FTC said it had reviewed the deal as involving 11 vertical mergers and two conglomerate mergers.</p><p class="editor-p">A vertical merger occurs when companies operate at different stages of the same supply chain within an industry, while a conglomerate merger occurs between businesses in different industries.</p><p class="editor-p">The watchdog said it had determined that concerns over the merger's impact on competition remain limited, given Homeplus Express' relatively small market presence.</p><p class="editor-p">"In terms of chicken products, Homeplus Express' share of the SSM market remains low, at around 2 percent," the FTC said.</p><p class="editor-p">"It is unlikely that other poultry-processing companies will be excluded from the market, or that other retailers will be placed at a disadvantage due to a lack of access to poultry products supplied by Harim," it added.</p><p class="editor-p">Private equity firm MBK Partners acquired a 100 percent stake in Homeplus in 2015 from British retailer Tesco for 7.2 trillion won. The retailer, however, became financially strapped due to a slump in the discount store industry and eventually entered court-led rehabilitation proceedings in March last year.</p><p class="editor-p">Homeplus signed an agreement to hand over the Homeplus Express business to NS Shopping in May.</p>

<p>감독 당국은 Homeplus Express의 시장 점유율이 상대적으로 낮은 편으로 보이며, 시장에 미치는 경쟁 영향에 대한 우려가 제한적이라고 판단했다.</p>
<p>FTC는 “치킨 제품 측면에서 Homeplus Express의 SSM 시장 점유율은 약 2%에 불과하다”고 말했다.</p>
<p>또한 “다른 육가공 기업이 시장에서 제외되거나, 해림이 공급하는 육계 제품에 접근하지 못해 다른 소매업체들이 불리해질 가능성은 낮다”고 덧붙였다.</p>
<p>사모펀드 MBK Partners는 2015년 영국 소매업체 Tesco로부터 Homeplus의 지분 100%를 7조2000억 원에 인수했다. 그러나 할인점 업계 침체로 인해 재무 상황이 악화되었고 지난해 3월 법정 관리 절차에 들어갔다.</p>
<p>Homeplus는 5월 NS Shopping에 Homeplus Express 사업을 넘기는 계약을 체결했다.</p>
